It depends - If they haven't made an offer then don't sell him. He's one the top 5 goalkeepers in the game. However, if they have made an offer it becomes tricky.
If they have made an offer and you reject it, he will almost certainly get the hump with you and say he's had enough of Chelsea and needs to move on (Happened to me before!). Then, you will have to offer him to clubs and you won't get anywhere near the £40m that was originally offered.

Sell him, I agree with DEMBA!, get Ter Stegen. Ter stegen is about 10M first season, should build up to be better then Cech.

tbh it depends entirely on how good your back up goalkeeper is. If you have a backup goalkeeper who is decent you should probably sell Cech he's a good keeper but imo 40 million is too good to turn down
Sell. Cech is very good at many parts of the game, but as we're seeing this year in real life (whether or not that's accurately represented in last year's FM ratings is another question), the aggressive, creative distribution of the ball is not a strength. For 40m... I guess my opinion is keepers aren't as big a part of the game in FM as in real life (albeit overprices), and you should be able to replace for a reasonable price and not lose much (TBH, I've not looked at FM12 rankings and in FM11 he was actually pretty regarded in distribution categories so maybe this is bogus advice)
Me, I'd sell - defo. You can get someone like Adler, Luis guilerme, Ter stegen or Courtois for around 20mil or less so that would give you around 20mil for a decent CB.

Sell him and buy Ter Stegen. Ter Stegen had a 4.3 M € release clause for me in the third season, for some reason...
